Overview

Orrick currently has an excellent opportunity for a Risk and Compliance Counsel, based in any of our U.S. offices (Austin; Chicago; Boston; Houston; Los Angeles; New York; Menlo Park; Orange County; Portland; Sacramento; San Francisco; Santa Monica; Seattle; Washington DC; or Wheeling, WV) and consideration given for 100% remote US locations.

The Risk & Compliance Counsel ("RCC") will join a team of ten staff attorneys for the firm and be responsible for managing potential risks to the firm posed by the onboarding of new clients, new matters for existing clients, and new personnel. The RCC's role will include effectively and efficiently analyzing and resolving potential ethical, contractual, and potential major business conflicts of interest posed by new business intake and lateral hiring. The RCC also will be responsible for researching and analyzing issues under applicable laws relating to the firm's ethical duties and advising on other compliance and risk management issues associated with firm operations, as needed. The RCC will be expected to have excellent analytical and communication skills as they manage a dynamic and often fast paced set of matters and issues.

The RCC will report directly to the firm's New Business Deputy General Counsel and coordinate on a regular basis with the firm's Ethics Deputy General Counsel, as well as other members of the firm's Office of General Counsel ("OGC"). The RCC will collaborate with other RCCs and work closely with other members of the New Business & Conflicts Department ("NB&C"), including intake and lateral conflicts analysts.

Responsibilities
    Responsible for analyzing and addressing potential conflicts associated with new business intake and lateral hires to ensure such conflicts are accurately and efficiently mitigated pursuant to the applicable rules of professional conduct and firm policy.
  • Consults with the OGC, Risk Management Committee, NB&C leadership, and other stakeholders across the firm to resolve complex issues.
  • Responsible for ensuring that terms of engagement with clients comply with ethical requirements and firm policy.
  • Counsel firm attorneys regarding potential conflicts of interest and other ethical issues.
  • Responsible for drafting waivers and establishing and maintaining ethical walls.
  • Involved in developing and providing training and continuing education programs for legal and non-legal staff members on the rules of professional conduct and the Firm's risk management and compliance policies and practices.
  • Have awareness and sensitivity to major potential business conflict issues within the firm.
  • Maintain knowledge of trends and legal developments impacting the conflicts and new business department functions.
  • Assume responsibility for maintaining the highest level of confidentiality of all firm matters and client information.
  • Participate in NB&C and OGC project teams to assist with special firm initiatives.
  • Assumes additional responsibilities as requested.
  • Responsible for modeling and acting in accordance with Orrick's client service standards and core values.
Qualifications
  • Juris Doctorate degree and admission to practice in good standing in a US jurisdiction required.
  • 3-5+ years of related or applicable law firm or corporate office of general counsel experience including extensive knowledge of conflict of interest and new client intake policies and procedures preferred.
  • Strong legal research and analytical skills, sound decision making abilities and good judgment.
  • Team-oriented with excellent interpersonal, communication, and counseling skills.
  • Ability to communicate and collaborate effectively with all levels of firm attorneys and staff.
  • Ability to manage change within a dynamic and innovative organization while maintaining a commitment to the Firm's core values: Excellence and Integrity; Cooperation and Individual Respect; Enthusiasm and Pursuit of Improvement.
  • Excellent project management, organizational, analytical and problem-solving skills.
  • Excellent communication and interpersonal skills; demonstrates a strong customer service orientation towards internal and external clients; proven ability to interact with all levels of management, staff and external entities in a highly effective and professional manner.
  • Proficient personal computer skills and knowledge of firm software including MS products, including Excel and Word.
  • Experience using Intapp products, including Conflicts, Intake, Terms, and Walls preferred.

Compensation and Benefits

The expected salary range for this position is:

  • California Major Markets* $130,000 - $150,000
  • New York City $130,000 - $150,000
  • National $100,000 - $130,000

* California Major Markets includes San Francisco, Silicon Valley, Los Angeles, Orange County, Santa Monica. All other California locations fall within National range.

This compensation and benefits information is based on the Orrick's estimate as of the date of publication and may be modified in the future. The level of pay within the range will depend on a variety of job-related factors that may include, but not limited to, qualifications, relevant experience or education, particular skills or expertise, geography. Other compensation may include an annual discretionary merit bonus, which would be determined by Firm and individual performance.
